Valuation Services

Waypoint professionals have performed numerous valuation engagements ranging from fairness opinions, estate tax preparation, ESOP maintenance and transaction structuring.

In each enagement Waypoint looks at the value of a company from several different perspectives. Most typically, we utilize Discounted Cash Flow Analysis, Comparable Public Company Analysis, Private Market Transaction Multiples and Asset Based Approachs. If necessary, Waypoint provides a complete write-up on the Company and the results and interpretation of each valuation approach that led to the determination of value.

Outside of its specific uses for determination of fairness or for IRS reporting reasons, a valuation project can provide a company with valuable perspective of how they are preceived in the market. In addition, Waypoint councils clients on strategies to increase value based on the results of our analysis. The key data that is compiled on competitive and comparable firms as part of the valuation process provides insight to industry benchmarks and targets for our client companies to work toward. For example, Waypoint works with companies to maximize value through the efficient use of leverage, matching the industry norm rather than allowing owners to provide all the capital in the form of equity.

Situation Analysis

A Situation Analysis is a customized review of specific elements of a company for the purpose of providing impartial and objective analysis of the current situation. We employ a balanced approach employing the following key elements: Customer/stakeholder, Financial, Internal Processes, and Team Development. The process provides management and the Board with an objective report on key elements of the business including but not limited to the following:

  • Industry summary and current operating conditions
  • Company market positioning

  • Operational processes involved in delivering the product or service

  • Financial analysis and industry comparisons

Turnaround Services

Waypoint Private Capital has worked with distressed organizations and turnaround situations, advising both creditor and debtor constituencies to work through the complex issues of developing a restructing plan and go forward strategy that addresses the needs of all parties.

Waypoint works with clients to structure a realistic plan of reorganization under which the company can fulfull its obligations and maximize the returns to creditor groups. Waypoint leverages the financial modeling, valuation and situational analysis to provide the basis for the plan of reorganization.

Transition Planning

This is a critically important and often overlooked by business owners and their advisers. Planning for transition is the process of identifying how and why the ownership of the business will transition to others. It encompasses financial concepts such as how to fully monetize what is often the single largest asset of the entrepreneur, and it often encompasses other parties such as a family member, key employee or a strategic partner. In all instances, there is a need for a plan to appropriately build and value the business so the objective(s) can be obtained.
