The following case studies provide detailed examples of the work we’ve done with our clients Midwest Steel Company – Large Midwest manufacturer of steel roofing and siding was looking to leverage the soft economy and acquire competing firms in specific regions of the country. Waypoint was engaged to provide ‘buy-side’ advisory services which entailed target identification, contact and communication, financial modeling of potential acquisitions, determination of valuation, recommendation of terms, and assistance in negotiation of the transaction. Waypoint completed a process of contacting 60+ target organizations and has engaged with 6 interested parties to date. Currently, Waypoint is in the process of valuing and preparing terms associated with potential candidates. Midwest Food Processing Company – Midwest based blender of dry powder mixes was looking to expand through acquisition and has hired Waypoint on a ‘buy-side’ advisory basis to identify potential candidates, contact each target and prepare recommendations for acquisition based on financial modeling and valuation work. Waypoint has targeted 50+ potential acquisitions and is in the beginning stages of contacting target organizations. Regional Economic Development Offices – Waypoint is currently working with an Economic Development Office in Wisconsin to structure, raise and manage a growth equity fund targeted at bringing new businesses into the region. Waypoint will leverage extensive experience in private equity fund management and individual investor network management to bring much need growth equity to this rural Midwest community. Carbolytic Materials Company – Senior managers from major industrial chemical processor were deploying new technology outside of their current employer to start a new company, Carbolytic Materials Company, located in northern Missouri. We provided Capital Advisory services at the outset in the design of the optimal capital structure as well as related communication materials. In this instance we were able to create a highly leveraged capital structure that management was very comfortable with, through combining both private capital providers and bank lenders. Of the total capital investment of $16.5 mil, $12.5 mil came in the form of borrowed capital while the owners invested $4.0 mil of equity. Industrial Distribution Company – this Central Oklahoma based company needed additional square footage in which to operate their expanding businesses. The client was referred to Waypoint to assist with the design of the optimal capital structure and to then source the partner and the capital necessary to execute the strategy. Once the capital structure was designed, they purchased an ideal property for $3.5 mil using a private lending partner of Waypoint. The company was able to consolidate several remote locations and substantially lower their monthly occupancy cost. Rural Manufacturing Firm – Northern Oklahoma based manufacturing firm was seeking to consolidate its debt and lower their monthly debt service. Waypoint developed a plan to refinance all of their long term assets and provide a $5.0 million note that is being amortized over 17 years. The consolidation provided $1.0 million of working capital and the debt service costs were reduced by $20,000 per month. Midwest Manufacturer – Management team for a manufacturer was seeking capital to purchase the company for an owner who desired to retire from the business. WayPoint developed a capital strategy utilizing bank debt and government incentive programs to provide for the purchase of the company. WayPoint also advised the management team of several material risk factors that warranted further review. The management team ultimately decided to delay the acquisition until these risk factors were mitigated. Software Development – Developer located in Arkansas engaged Waypoint to provide Capital Advisory services to determine the optimal capital structure, and to guide the effort in raising that capital, including the development of communication materials. WayPoint recommended a phased approach to the capital raise and has successfully led the effort for the first phase, in raising $2.0 mil of capital in furthering both product and market development. Ballistic Armor Manufacturer – Southern Texas based manufacturer of ballistic armor for defense and commercial applications engaged WayPoint to develop a capital strategy and to execute on that strategy. The strategy development portion of the project is complete and the company is now executing a $20.0 mil capital raise to ramp up staffing and a manufacturing facility that will allow the company to significantly increase their production capabilities. Oklahoma Manufacturing Firm – Northeast Oklahoma based company had a flawed capital structure with current assets being used for long term debt. The structure was put in place by a local lender to grab as much collateral as possible. The result was the company was unable to finance their growth and needed to develop a new capital strategy and locate another lender. WayPoint led that effort in successfully putting together a $2.0 mil note with a new lender and a separate $1.0 mil revolving line of credit that provided the cash flow for the company’s growth. |
